Special Terms

Special Terms are supplementary provisions in foreign trade contracts that differ from general terms and conditions (such as standard clauses on price, payment, delivery, etc.). They are used to set customized rules for specific goods, specific markets, or specific transaction scenarios. Common use cases include: packaging and transportation requirements for fragile items, dangerous goods, and precision instruments; shelf-life and inspection standards for food and cosmetics; special provisions for exclusive agency, intellectual property, and confidentiality obligations; and flexible clauses set due to risks such as politics, exchange rates, and tariffs. Notes: Special Terms must be specific and operable, avoiding vague expressions; they should be coordinated with the main contract terms and must not conflict; liability for breach and dispute resolution methods need to be clearly defined. The difference from general terms is that Special Terms are not required for every transaction but are customized according to actual needs, and they often take precedence over general terms. Similar to 'additional clauses,' but Special Terms emphasize stronger specificity and unique content, commonly found in letters of credit, sales confirmations, or purchase orders.
