Order Cancellation

Customer Order Cancellation refers to the act by which the buyer, after order confirmation and before delivery of goods, unilaterally or through negotiation terminates the contract. It commonly occurs in foreign trade scenarios: the buyer requests cancellation due to market changes, financial problems, or quality issues; the seller may also agree to cancellation due to rising raw material prices or insufficient production capacity. Usage scenarios include email communication, invoking contract clauses, and claim negotiations. Precautions: first, confirm the cancellation clause in the contract (e.g., whether unconditional cancellation is allowed, the penalty ratio); second, distinguish 'cancellation' from 'return' and 'rejection'—cancellation occurs before shipment, while return occurs after receipt; third, confirm in writing promptly and avoid oral promises; finally, assess costs already incurred (e.g., material preparation, production, booking space) and claim compensation from the customer or negotiate sharing. Unlike 'order modification,' cancellation is complete termination, while modification only adjusts quantity, delivery time, etc. Unlike 'force majeure' cancellation, the latter may be exempt from liability. Foreign trade practitioners should keep communication records to prevent credit risks.
