Repair Suspension

Repair Suspension is an arrangement in international trade for exported goods that malfunction within the warranty period, where the buyer and seller agree to temporarily suspend part or all obligations under the original sales contract (such as payment, delivery, or claims). Its core lies in 'suspension' rather than 'termination', aiming to allow a time window for repairs, with performance resuming after repairs are completed. It is commonly used in trade involving large equipment, precision instruments, etc., that require return-to-factory or on-site repairs. Precautions: 1. The scope, duration, and conditions for resumption of suspension must be clearly specified in writing to avoid being deemed a breach of contract; 2. Unlike 'force majeure', repair suspension typically arises from product quality issues rather than external events; 3. It differs from 'return' or 'exchange' as it does not change ownership of the goods, only temporarily suspends contract execution; 4. The party responsible for repair costs, transportation, and risks should be agreed upon. Distinction: Repair suspension emphasizes the temporary suspension of contractual obligations, whereas 'quality claim' focuses on compensation, and 'warranty' focuses on the seller's obligation to repair free of charge.
