Exchange Confirmation

Exchange Confirmation is a written confirmation document or email exchange in foreign trade through which the buyer and seller reach an agreement on replacement of goods due to quality issues, wrong shipment, specification mismatch, or other reasons. Its core function is to clarify the responsibility for the exchange, quantity, specifications, shipping method, cost bearing, and time schedule, so as to avoid subsequent disputes. It is typically used when inspection after receipt reveals nonconformity, or when both parties agree to replace goods instead of returning them for a refund. Precautions include: the exchange confirmation should reference the original contract or order number, specify the reason for the exchange and the responsible party, stipulate the delivery time and shipping terms for the new goods, and indicate whether the original payment terms are affected. Unlike a Return Confirmation, an Exchange Confirmation does not involve a refund but is a barter arrangement; unlike a Replenishment Confirmation, an exchange usually involves returning the original goods, whereas replenishment may only involve shipping the shortfall. The Exchange Confirmation should serve as a contract amendment or supplementary agreement with legal effect, and it is recommended that both parties sign and seal it.
