Order Amendment

Order Amendment refers to the act of modifying the terms of an original order by both the buyer and seller after an international trade contract or order has been signed but before the goods are shipped, due to reasons such as market changes, production issues, specification adjustments, quantity increases or decreases, or changes in packaging requirements. Common modifications include product specifications, quantity, unit price, total amount, delivery date, payment method, shipping method, and packaging. Usage scenarios mostly occur when the buyer's requirements change or the seller's production is constrained; both parties must reach a consensus and confirm in writing, such as signing an amendment agreement or confirming via email. Precautions: Any modification must be agreed upon by both parties to avoid unilateral changes; after modification, relevant documents (such as proforma invoices, letters of credit) should be updated and ensured to be consistent with the letter of credit terms to prevent discrepancies; if a letter of credit is involved, the issuing bank must be notified promptly for amendment. Unlike 'order cancellation,' an order amendment is an adjustment of some or all terms, not a termination of the contract; unlike a 'new order,' an amendment is based on the original order and does not create a new contractual relationship.
