On-time Delivery is a core performance clause in foreign trade contracts, referring to the seller delivering the goods to the buyer or carrier within the delivery period stipulated in the contract (such as a specific date or time frame). Usage scenarios include: shipment periods under trade terms such as FOB/CIF, the latest shipment date required by a letter of credit, and arrival times on which the buyer's production plan depends. Precautions: 1) The delivery time benchmark should be clearly specified (e.g., 'no later than June 30, 2025'); 2) Distinguish between 'shipment period' and 'arrival period'—the former refers to the time the goods are loaded on board, while the latter refers to the time of arrival at the destination port; 3) If delay is caused by force majeure or the buyer, timely notice must be given and evidence retained; 4) Late delivery may trigger liquidated damages, claims, or even contract termination. Compared with 'timely delivery,' on-time delivery places greater emphasis on the specific date agreed in the contract; unlike 'early delivery,' early delivery may not be accepted due to warehousing or payment issues. Foreign trade practitioners should specify in the contract the grace period, inspection standards, and allocation of liability to avoid ambiguity.
