Sole Distribution

Sole Distribution refers to the seller granting the buyer the exclusive right to sell specified goods within a specific territory and for a specific period. The buyer is usually called a sole distributor and may not deal in similar goods from other sources, nor may the seller sell through other channels in that territory. It is commonly used when exporters enter new markets, leverage distributor channels for rapid distribution, or when brand owners manage regional markets in a refined manner. Precautions: the agreement must clearly specify the territory, term, minimum purchase quantity, intellectual property protection, and termination clauses for breach; if the distributor fails to meet performance targets, the seller should retain the right to revoke exclusivity. Unlike Sole Agency, a sole distributor buys and resells goods in its own name and bears its own profits and losses, whereas a sole agent only represents the seller in matching transactions and earns commission without bearing goods risk. Compared with general distribution, sole distribution excludes competition and therefore carries higher risk for the seller, requiring careful assessment of the distributor's capabilities.
