The Subject Matter of Contract is a core clause in international trade contracts, referring to the object to which the rights and obligations of both parties are directed, i.e., the specific content of the transaction. It typically includes basic elements such as the name, specifications, model, quantity, quality, and packaging of the goods. In practice, the subject matter is a necessary condition for the contract to be established and must be clear, specific, and legal; otherwise, the contract may be invalid or disputes may arise. It is commonly used in sales confirmations, purchase orders, letters of credit, and other documents. Note: The description of the subject matter must be fully consistent with the actual goods, avoiding vague wording; for complete equipment or technical products, detailed configurations must be listed; also, it should be distinguished from terms such as 'product name' and 'specifications'—product name refers only to the name of the goods, while the subject matter covers a broader object of rights and obligations. Unlike 'contract terms,' the subject matter is the object to which the contract points, not the terms themselves.
