Notification Clause

The notification clause is a common provision in foreign trade contracts, letters of credit, and transport documents. It mainly stipulates that one party (such as the buyer, issuing bank, or carrier) is obligated to promptly notify the other party (such as the seller, beneficiary, or consignee) in an agreed manner (e.g., telegram, fax, email) when a specific event occurs. It is widely used: in letters of credit, the advising bank must notify the beneficiary that the L/C has been opened; in transport, the carrier must notify the consignee of the cargo's arrival; in contracts, the buyer must notify the seller of shipping instructions or L/C opening status. Precautions include: the notification method, time limit, and content must be clear, otherwise disputes may arise; the party obligated to notify shall bear liability for breach of contract if it fails to notify in a timely manner. Difference from other terms: the notification clause emphasizes a one-way obligation to inform, unlike the 'amendment clause' which involves bilateral negotiation, and unlike the 'confirmation clause' which requires a reply. Foreign trade practitioners should ensure the notification clause is operable and retain evidence of notification.
