Partial Refund

Partial Refund refers to the act by which, in foreign trade transactions, the seller refunds part of the payment already made to the buyer due to reasons such as non-conforming goods quality, quantity shortage, delivery delay, or mutual negotiation. It commonly occurs after settlement via letter of credit, telegraphic transfer, or documentary collection, when the buyer files a claim and the seller agrees to bear partial responsibility rather than making a full refund. Use cases include: goods with minor defects that the buyer agrees to accept at a reduced price, proportional refund for short shipment, partial failure of performance due to force majeure, etc. Precautions: the contract should clearly specify the refund trigger conditions, calculation method, time limit, and currency; after the refund, invoices and customs declaration documents should be updated to avoid tax and foreign exchange verification issues; if a letter of credit is involved, it is necessary to confirm whether the bank accepts partial refunds and amend the relevant terms. The difference from Full Refund lies in the scope of responsibility and the proportion of the amount; the difference from Discount is that a refund is a subsequent return of money, while a discount is a prior price reduction; the difference from Compensation is that a refund only returns the payment already made, while compensation may involve additional penalty payments.
