Technical Specification

A Technical Specification is a legal document or clause used in foreign trade contracts to describe in detail indicators such as performance, parameters, materials, workmanship, dimensions, and standards of goods. It often serves as a contract annex or a standalone document. Its use scenarios include: procurement of complex commodities such as mechanical equipment, electronic products, and chemical products, where the buyer needs to clarify quality requirements and the seller needs to produce accordingly. Precautions: Technical specifications should be specific and quantifiable, avoiding vague expressions; they need to be coordinated with other contract clauses (such as inspection standards and quality assurance); if the specifications are outdated or incorrect, it may lead to non-conforming delivery. The difference from 'quality clause' is that technical specifications focus on specific parameters, while quality clauses focus on overall quality commitments; the difference from 'sample' is that technical specifications are written descriptions, while samples are physical references. In practice, technical specifications are often linked to 'acceptance standards', and non-compliance may trigger claims. Therefore, foreign trade practitioners should ensure that the technical specifications are confirmed by both parties and indicate the version number and modification mechanism.
