Contract Date

Contract Date refers to the date on which the buyer and seller formally sign the contract or the contract takes effect. It is a key time node in foreign trade contracts. It is usually used to determine the starting point for performance, the deadline for opening a letter of credit, the shipment period, the limitation period for claims, and the applicable law. Usage scenarios include: clearly marking the signing date at the beginning or end of the contract; stipulating in the payment terms that 'the letter of credit shall be opened within 30 days after the Contract Date'; and providing in the shipment terms that 'shipment shall be made within 60 days after the Contract Date'. Notes: The Contract Date should be distinguished from the effective date. If the contract takes effect subject to conditions, the effective date may be later than the signing date. At the same time, attention should be paid to differences among jurisdictions in determining the time of contract formation. Unlike the 'Order Date' and 'Invoice Date', the Contract Date is the formal starting point of the rights and obligations of both parties, while the Order Date may only indicate intent, and the Invoice Date involves taxation and payment. Foreign trade practitioners should ensure that the Contract Date is clear and unique to avoid confusion with other dates and reduce disputes.
