Contract Appendix

A Contract Appendix is a supplementary document to the main contract, typically used to detail, supplement, or modify the terms of the main contract, such as technical specifications, product details, payment schedules, acceptance criteria, etc. Its legal effect is equivalent to that of the main contract, but in case of conflict with the main contract, the main contract generally prevails (unless the parties explicitly agree that the appendix takes precedence). Usage scenarios include: when the main contract terms are too general and additional documents are needed to clarify specific content; or when both parties negotiate to change certain terms during performance and confirm them in the form of an appendix. Precautions: The appendix should clearly indicate the contract number, appendix serial number, and name, and be signed and sealed by both parties; avoid contradictions between the appendix content and the main contract; if the appendix is modified multiple times, the version and effective date should be noted. Difference from 'Amendment': An appendix usually supplements details at or after the conclusion of the main contract and does not change the core terms of the main contract; while an amendment directly changes the terms of the main contract and may take precedence over the original terms. Often interchangeable with 'Annex', but Appendix emphasizes supplementarity, while Annex emphasizes additional materials.
