Grace Period

In foreign trade, a grace period usually refers to extra time allowed for one party to delay performance of obligations without penalty in contract performance, letter of credit payment, loan repayment, or shipment. Common scenarios include: under a letter of credit, the issuing bank grants the beneficiary a grace period of several days after the L/C expiry for document presentation; in a loan agreement, the borrower may repay within the grace period after the repayment date without overdue penalty interest; in shipment terms, a buffer period during which the seller may still ship after the agreed shipment period. Notes: A grace period does not apply automatically; the contract must clearly specify the start and end time, whether application is required, and whether extra fees are charged; if not agreed, the original deadline applies strictly. Unlike an extension period, a grace period usually does not change the original contract terms and only temporarily tolerates delay; unlike a deductible period, a grace period addresses time obligations, not exemption from liability. Foreign trade practitioners should carefully review grace period clauses in letters of credit and contracts to avoid refusal of payment or breach due to misunderstanding.
